1. Parties<\/strong><\/h4>

This Sales Agreement (\u201cAgreement\u201d), on the one hand, Dividyo (\u201cSeller\u201d), located at \u00c7\u0131narl\u0131 Mah. \u015eehit Fethi Sekin Cad. No:3 D:1602 Sunucu Plaza Konak \u0130zmir Turkey, +90 232 320 00 40 phone number, dividyo@dividyo.com and profaj@dividyo.comm e-mail addresses, Dividyo (\u201cSeller\u201d) operating under Profaj A.\u015e. and on the other hand the natural or legal person (\u201cBuyer\u201d) who purchases a service package through the dividyo.com website (\u201cBuyer\u201d) have entered into this Agreement under the following terms and conditions.<\/p>

2. Subject matter of the contract<\/strong><\/h4>

The subject of this Agreement is to determine the rights and obligations of the parties regarding the sale of artificial intelligence supported video production service packages (AI Advertising Videos, AI Promotional Videos, CGI & Viral Videos, Artificial Intelligence Social Media Videos, Artificial Intelligence Product Promotion Videos, AI Street Interviews, Special Day Videos, etc.) that the Buyer has purchased or committed to purchase through the dividyo.com website.<\/p>

3. Order and Service Package Selection<\/strong><\/h4>

The Buyer may choose any of the service packages offered on the dividyo.com website and initiate the purchase process. The details of the selected service package (duration, content, inclusions, price, etc.) are clearly indicated before confirmation by the Buyer. The Buyer is obliged to check all the information before finalizing the order. <\/p>

4. Prices and Payment<\/strong><\/h4>

The prices of the service packages are clearly stated in the relevant package details on the dividyo.com website. The stated prices do not include VAT and other statutory taxes, these are stated separately. Payment is made securely by credit card or other specified payment methods via Iyzico payment infrastructure. Service provision does not start until the payment process is completed. <\/p>

5. Service Delivery and Delivery<\/strong><\/h4>

The purchased video production service is provided in line with Dividyo’s \u201c4 Simple Steps from Idea to Finale\u201d working process:<\/p>

  • Brief & Strategy:<\/strong> The Buyer communicates the goals and details of their project to the Seller.<\/li>
  • Artificial Intelligence Production:<\/strong> The intelligent system generates script, character, voiceover and editing options according to the brief.<\/li>
  • Review & Revision:<\/strong> A draft of the video is presented to the Buyer and revisions within the package are applied according to their feedback.<\/li>
  • Delivery:<\/strong> Upon approval, the video is delivered electronically in the formats and high resolution requested by the Buyer. Delivery times may vary depending on the package chosen and the complexity of the project. <\/li><\/ul>

    6. Cancellation and Refund Policy<\/strong><\/h4>

    Cancellation or refund requests after the start of the performance of the service shall be evaluated in proportion to the work done and the resources spent. Cancellation requests after the purchase and before the start of the performance of the service will be evaluated at the discretion of the Seller. In case of any refund, Iyzico’s refund processes shall apply. <\/p>

    7. Intellectual Property and Usage Rights<\/strong><\/h4>

    The intellectual property rights of the videos produced are transferred to the Buyer provided that the Buyer makes full and complete payment. The Buyer shall have the right to use the videos in any media he\/she wishes. The Seller reserves the right to show the videos produced as a reference in its own portfolio. The rights of use and responsibility for all content (visual, text, sound, etc.) provided by the Buyer belongs to the Buyer. <\/p>

    8. Confidentiality<\/strong><\/h4>

    The Parties agree and undertake to keep confidential all trade secrets, technical information and personal data acquired by each other under the Agreement. This confidentiality obligation shall survive the termination of the Agreement.<\/p>

    9. Limitation of Liability<\/strong><\/h4>

    The Seller does not guarantee the accuracy, completeness or timeliness of the information obtained through the website or the services offered. The Seller’s liability is limited to the service fee paid by the Buyer. The Seller shall not be held responsible for any direct or indirect damages incurred by the Buyer.<\/p>

    10. Force Majeure<\/strong><\/h4>

    In the event of circumstances beyond the control of the Parties (natural disasters, war, terrorism, cyber attacks, power outages, legal regulations, etc.) that prevent and \/ or delay them from fulfilling their obligations arising from this Agreement, these situations are considered force majeure. The obligations of the parties are suspended as long as the force majeure event continues.<\/p>

    11. Dispute Resolution<\/strong><\/h4>

    All disputes arising out of this Agreement shall be subject to the laws of the Republic of Turkey and Izmir Courts and Enforcement Offices are authorized.<\/p>
